Applicable Law and Dispute Resolution

ASP Aesthetics LP maintains and operates the Site from its facilities in New York in the United States of America. Use of the Site and its contents, all transactions arising from use of the Site, and this Agreement, shall in all respects be governed by and interpreted, construed and enforced in accordance with the laws of the United States of America and the state of New York, without giving effect to any principles of conflict of laws. Any dispute between ASP Aesthetics LP and any user of the Site will be resolved by a state or federal court situated within Onondaga County in the state of New York, and user hereby irrevocably submits to the personal jurisdiction of such courts for that purpose.[A] The parties hereby agree to exclude the application of the United Nations Convention on Contracts for the International Sale of Goods.

General

Every provision of this Agreement shall be construed, to the extent possible, so as to be valid and enforceable. If any provision of this Agreement so construed is held by a court of competent jurisdiction to be invalid, illegal or otherwise unenforceable, such provision shall be deemed severed from this Agreement, and all other provisions shall remain in full force and effect. Any section headings or titles in this Agreement are inserted for convenience only and shall have no other meaning. This Agreement sets forth the entire agreement and understanding between ASP Aesthetics LP and the user of the Site regarding the subject matter hereof and supersedes any prior representations, advertisements, statements, proposals, negotiations, discussions, understandings, or agreements regarding the same subject matter.

Mobile terms of service 7/15/2024

The Chapter Aesthetic Studio mobile message service (the "Service") offered through Chapter Aesthetic Studio (“CHAPTER”, “we”, or “us”) is provided by third-party Braze, Inc. (“Braze”). Your use of the Service constitutes your agreement to these terms and conditions (“Mobile Terms”). We may modify or cancel the Service or any of its features without notice. To the extent permitted by applicable law, we may also modify these Mobile Terms at any time. Your continued use of the Service following the effective date of any such changes shall constitute your acceptance of such changes. These Mobile Terms may also be revised by changes to the Braze platform.

Entering your mobile number and consenting to the Service, is your electronic signature authorizing CHAPTER and Braze to send you recurring service-related and marketing e-mails and text messages through your wireless provider at the number provided. Text messages may be sent using an automatic telephone dialing system or automated system for the selection or dialing of telephone numbers. Service-related messages may include updates, and alerts. Marketing messages may include promotions, specials, and other marketing offers.

Your consent is not a condition of any purchase with CHAPTER.

You are responsible for all charges and fees associated with text messaging imposed by your wireless provider. Message frequency varies. Message and data rates may apply. Check your mobile plan and contact your wireless provider for details. You are solely responsible for all charges related to text messages, including charges from your wireless provider.

You may unsubscribe from the Service at any time. Text the single keyword command STOP to CHAPTER 773-900-2169 or click the unsubscribe link (where available) in any text message to cancel. You'll receive a one-time opt-out confirmation text message. No further messages will be sent to your mobile device, unless initiated by you.

We may change any short code or telephone number we use to operate the Service at any time. We will notify you of these changes. You acknowledge that any messages, including any STOP or HELP requests, you send to a short code or telephone number we have changed may not be received and we will not be responsible for honoring requests made in such messages.

The wireless carriers supported by the Service are not liable for delayed or undelivered messages. You agree to provide us with a valid mobile number. If you get a new mobile number, you will need to sign up for the program with your new number.

To the extent permitted by applicable law, you agree that we will not be liable for failed, delayed, or misdirected delivery of any information sent through the Service, any errors in such information, and/or any action you may or may not take in reliance on the information or Service.

Gift Cards

Overview. The following Gift Card Terms and Conditions (“Terms”) describe the terms and conditions that govern the purchase, acceptance and/or use of Chapter Aesthetic Studio gift cards (“Gift Cards”). In addition to these Terms, the privacy policy located at https://www.mychapter.com/privacy-policy/ apply and are incorporated into these Terms. By purchasing, accepting, or using a Gift Card, you agree to be bound by these Terms.
 
Issuer. Gift Cards are issued by TAG Medical Aesthetic Support Services, LLC, a North Dakota limited liability company, on behalf of the independently owned and operated Chapter Aesthetic Studio practices that it supports (“Issuer”).

Purchase and Activation. Gift Cards are sold and activated at the time of purchase. Keep your receipt as proof of purchase and activation.  Gift cards may be purchased online (“E-Gift Cards”) at https://shop.mychapter.com/products/chapter-egift-card-for-online-redemption-only for online redemption only and in studios for in-studio redemption only (“Physical Gift Cards”).

Redemption – Physical Gift Cards.  Physical Cards are redeemable only for eligible goods and services at Chapter locations. Physical Gift Cards cannot be redeemed online.  Physical Gift Cards cannot be used to purchase other Gift Cards. Gift Cards are not redeemable for cash or credit, except as required by applicable law.

Redemption – E-Gift Cards. E-Gift Cards are redeemable only for eligible goods online at https://shop.mychapter.com/pages/all-products/.  E-Gift Cards cannot be used to purchase other Gift Cards. Gift Cards are not redeemable for cash or credit, except as required by applicable law.

Non-Returnable. Purchases of Gift Card are final and nonrefundable, except where required by applicable law.

Expiration and Fees. Gift Cards do not expire and do not have dormancy or service fees.

Maximum Value. You may not purchase or obtain any one Gift Card with a value of more than $500 in any one day.  You may not purchase or obtain more than $5,000 in Gift Card value in any one day regardless of whether on a single Gift Card or multiple Gift Cards. 

Risk of Loss. Treat your Gift Card like cash. Title and risk of loss for Gift Cards pass to the purchaser upon the purchase of the Gift Card in person or the electronic transmission of the Gift Card to the purchaser or the designated recipient, whichever is applicable.  Issuer is not responsible for lost, stolen, damaged, or unauthorized use.  The value of any lost, damaged or stolen Gift Card will not be replaced.    

Resale and Transfer. Gift Cards may not be resold, advertised, or transferred for value without Issuer’s written consent. Void if altered or obtained fraudulently. 

Fraud and Abuse. Issuer may void or deactivate Gift Cards without a refund, retain all funds associated with the Gift Card, refuse to honor a Gift Card, request alternative forms of payment, suspend or terminate the ability to purchase goods or services at Chapter Aesthetic Studio, and void or cancel orders if fraud, abuse, or suspicious activity is suspected in connection with the acquisition or use of a Gift Card.  Any tampering or manipulation of a Gift Card, or any unauthorized access thereof, prior to proper purchase is unlawful and against these Terms.  

Balance Inquiry. You may check your balance by calling Chapter’s Inside Sales Team at (701)-314-5506 or your local studio.  Any use of a “bot” or other computer program to check card balances is prohibited.  

Returns on Purchases. Merchandise purchased with a Gift Card is subject to Chapter Aesthetic Studio’s return policy. Any refunds are credited back to the original Gift Card or a replacement Gift Card. 

Partial Redemptions. If a purchase exceeds the Gift Card balance, you must pay the difference with another payment method. Remaining balances stay on the Gift Card, unless a refund is required under applicable law.  

No Interest; No FDIC Insurance. Cards are not bank accounts; balances do not earn interest and are not insured by the FDIC or any government agency. 

Compliance with Law. By purchasing or holding a Gift Card, you agree to comply with all applicable laws, these Terms.   

Limitation of Liability.  ISSUER MAKES NO WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE CARDS INCLUDING, WITHOUT LIMITATION, ANY EXPRESS OR IMPLIED WARRANTY OR MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.  TO THE MAXIMUM EXTENT PERMITTED BY LAW, ISSUER’S LIABILITY IS LIMITED TO REPLACING A GIFT CARD WITH THE REMAINING BALANCE AT THE TIME OF REPLACEMENT. CERTAIN STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OR CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY TO YOU. 

Unclaimed Property.  In the event you do not use your Gift Card for a certain period of time, Issuer may be required to turn over the remaining Gift Card balance to a state under such state’s unclaimed or abandoned property law. Although your Gift Card does not expire, if Issuer is obligated to turn over the remaining balance of your Gift Card under a state’s unclaimed property law, by operation of law Issuer will be released from any further liability or obligation with respect to your Gift Card and you may be required to contact the state’s unclaimed property administrator to attempt to recover your unused Gift Card balance. To protect your right to continue to use your remaining Gift Card balance, Issuer will make reasonable efforts to exempt your Gift Card from state unclaimed property laws. 

Governing Law. The laws of North Dakota, without regard to principles of conflict of laws, apply to these Terms and use of your Gift Card. If any part of these Terms are unlawful, void, or unenforceable, that part will be deemed severable and will not affect the validity and enforceability of any remaining provisions. 

Changes. Issuer may change these terms at any time, with updated terms posted at [link]. Changes will not retroactively affect rights on previously issued Gift Cards where prohibited by law. 

Severability. If any term is invalid, the remaining terms remain in effect.
